Project iScope
These terms govern access to and use of the Project iScope app, connected-camera workflows, AI-assisted features, exports, documentation, and related app services.
Who we are
Dr Matcha Studio Limited and Dr Matcha Studio (collectively, "Dr Matcha Studio," "we," "us," or "our") own and operate Project iScope. Unless otherwise stated, the app, its software, visual assets, documentation, and related materials are owned by Dr Matcha Studio or its licensors.
Scope and acceptance
These Terms of Use apply to the Project iScope application, updates, app content, connected-camera workflows, AI-assisted features, exports, documentation, beta materials, and related communications (collectively, the "App"). By downloading, installing, accessing, or using the App, you agree to these Terms.
If you do not agree, do not download or use the App.
Related policies and platform rules
These Terms incorporate the Project iScope Privacy Policy, which explains how information is handled.
Your use of the App may also be subject to Apple App Store terms, operating-system rules, device-platform terms, hardware-vendor terms, and third-party service terms that apply to software, devices, accessories, or services you choose to use with the App.
If you obtained the App through the Apple App Store, you acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the App and may enforce them against you.
Eligibility and authority
You must be at least 18 years old to use the App. If you use the App on behalf of a business, institution, lab, university, hospital, clinic, facility, employer, or other organization, you represent and warrant that you have authority to bind that organization to these Terms.
Changes to the App and these Terms
We may modify the App or these Terms at any time. If we make changes, we may update the effective date and post the revised version. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms.
License grant
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the App on compatible devices you own or control, solely for your personal use or your internal professional, research, educational, imaging, field, facility, design, or evaluation use.
No ownership rights are transferred to you. The App is licensed, not sold.
Beta and preview status
Project iScope may be offered as a beta, preview, prototype, evaluation build, research build, or early-stage release. Features may change, be incomplete, be inaccurate, be unstable, or be removed without notice.
You acknowledge that preview software may contain bugs, incomplete documentation, device-compatibility limitations, data-loss risks, and performance variation, and is provided for evaluation without any commitment to future availability, features, compatibility, or performance.
Permitted use and your responsibilities
You are responsible for how you use the App, for the data and environments you capture, for the devices and accessories you connect, and for ensuring that your use complies with all applicable laws, contracts, permissions, research protocols, workplace rules, institutional policies, and third-party rights.
You are solely responsible for obtaining any required notices, consents, approvals, ethics reviews, patient or subject permissions, workplace authorization, property permissions, and confidentiality controls before capturing, processing, storing, exporting, or sharing information.
Your data rights and lawful use
You represent and warrant that you own or lawfully control, or otherwise have the necessary rights and permissions to process, store, export, and share all materials and information you use with the App, including images, videos, audio, thermal data, microscope data, specimen data, metadata, labels, notes, and other information relating to people, organizations, property, research, or regulated environments.
You must not use the App to violate privacy, confidentiality, intellectual property, employment, security, export-control, surveillance, data-protection, medical, research-ethics, or institutional obligations.
Connected devices and compatibility
The App may support built-in cameras, USB cameras, microscope cameras, thermal cameras, capture devices, sensors, and other accessories. Compatibility may vary by platform, operating-system version, device model, firmware, driver, cable, adapter, hardware profile, and vendor implementation.
We do not guarantee that any particular third-party camera, thermal camera, microscope, sensor, driver, SDK, firmware, adapter, or accessory will work with the App, remain compatible, or produce accurate outputs.
AI-assisted analysis
The App may include AI-assisted features such as segmentation, object or region detection, image enhancement, measurement support, workflow suggestions, or similar analysis. These features are tools to assist human review and are not a substitute for professional judgment, validation, or independent verification.
AI outputs may be incomplete, inaccurate, biased by input conditions, sensitive to device settings, or unsuitable for your intended use. You are responsible for reviewing, validating, correcting, and deciding whether any output is appropriate for your purpose.
Measurement, calibration, and environmental limits
Images, thermal readings, segmentations, measurements, spatial information, and exported results may be affected by device model, sensor variation, calibration, lens behavior, focus, exposure, frame rate, compression, emissivity settings, reflective surfaces, environmental conditions, lighting, motion, occlusion, user technique, accessory behavior, and software version.
You are solely responsible for calibration checks, independent validation, controlled procedures, and determining whether App outputs are accurate enough for your use case.
Not a safety-critical, clinical, or certified instrument
Unless we expressly state otherwise in writing for a specific release, device profile, or formal service engagement, Project iScope is not a certified metrology instrument, medical device, diagnostic device, clinical decision system, patient-monitoring system, safety-critical system, legal-evidence system, emergency-response tool, occupational-safety instrument, building-code compliance tool, thermal-safety instrument, or regulated measurement system.
You must not rely on the App as the sole basis for diagnosis, treatment, life-safety decisions, workplace safety determinations, legal claims, insurance decisions, regulatory submissions, product-release decisions, quality-control approvals, or other consequential decisions without qualified independent verification.
No professional advice
The App and its outputs are informational tools only. They do not constitute medical advice, diagnostic advice, laboratory certification, research certification, engineering advice, thermal-safety advice, workplace-safety advice, legal advice, compliance advice, or any other professional advice.
You are responsible for obtaining qualified independent advice before acting on App outputs in any consequential setting.
Privacy, recording, and sensitive environments
You must use the App lawfully and respectfully when capturing people, private property, workplaces, labs, clinics, classrooms, specimens, proprietary systems, confidential documents, or restricted environments.
Do not use the App for covert surveillance, biometric identification, stalking, harassment, unlawful monitoring, unauthorized recording, or any activity that infringes privacy, safety, or civil rights.
Your data and outputs
As between you and Dr Matcha Studio, you retain your rights in the raw materials and content you lawfully input into the App, and in the project files, captures, annotations, reports, and exports you generate, subject to applicable law and third-party rights.
The App, including its software, algorithms, AI workflows, segmentation systems, interaction design, design systems, visual assets, documentation, and underlying technology, remains the exclusive property of Dr Matcha Studio or its licensors.
Restrictions
- Do not copy, reproduce, distribute, publish, display, sublicense, rent, lease, sell, or exploit the App except as expressly permitted.
- Do not reverse engineer, decompile, disassemble, decode, translate, or attempt to derive source code, structure, models, formulas, workflows, segmentation logic, calibration behavior, or internal methods of the App.
- Do not probe, benchmark, profile, scrape, harvest, or systematically test the App to discover proprietary parameters, limitations, prompts, model behavior, calibration characteristics, or confidential performance information.
- Do not use the App or its outputs to build, benchmark, train, fine-tune, validate, or improve AI, machine learning, computer-vision, camera-control, microscope-control, thermal-imaging, or competing imaging systems without our prior written consent.
- Do not use automated means, scripted capture, large-scale output collection, or dataset generation to extract know-how or replicate App behavior.
- Do not circumvent security, licensing controls, access restrictions, technological protection measures, watermarks, attribution, or proprietary notices.
- Do not publish comparative performance claims, validation claims, benchmark results, calibration claims, or model evaluations involving the App without our prior written consent.
- Do not use the App to create or support a competing product or service, or to assist a third party in doing so.
Intellectual property and reserved rights
The App and all related materials, including software, interaction design, design systems, visual assets, AI-assisted workflows, segmentation methods, capture logic, measurement workflows, export structures, documentation, and confidential know-how, are protected by copyright, trade secret, trademark, patent, database, and other intellectual property laws.
No rights or licenses are granted by implication, estoppel, exhaustion, or otherwise. All rights not expressly granted are reserved.
Trademarks and brand assets
Project iScope, iScope, LumaNorm Studio, Dr Matcha Studio, associated logos, names, marks, icons, and trade dress are proprietary to Dr Matcha Studio or its licensors.
- You may not use our brand assets without prior written consent.
- You may not register confusingly similar names, marks, social handles, app names, or domains.
- You may not imply affiliation, endorsement, certification, validation, or partnership without authorization.
Confidential and pre-release materials
If we provide preview features, beta builds, unpublished documentation, test builds, roadmaps, calibration profiles, model details, device profiles, sample projects, or other non-public materials, you agree to treat them as confidential unless we state otherwise in writing.
Feedback and submissions
If you submit feedback, ideas, suggestions, feature requests, test results, compatibility reports, bug reports, or other materials, you grant Dr Matcha Studio a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable license to use, reproduce, modify, publish, create derivative works from, and commercialize them without restriction or obligation.
We are not obligated to keep feedback confidential and may already be developing similar concepts.
Third-party services and hardware
Your use of Apple services, operating-system services, files platforms, communication tools, cloud storage, camera drivers, hardware-vendor SDKs, firmware, companion apps, thermal-camera services, microscope systems, capture cards, or any other third-party destination or integration is governed by those third-party terms and policies.
We are not responsible for third-party services, devices, accessories, drivers, firmware, cables, adapters, storage destinations, or support channels you choose to use with the App.
Fees and billing
If the App is offered as a paid product, subscription, licensed build, or paid feature, applicable fees, taxes, renewal terms, cancellation terms, and billing terms will be disclosed at the time of purchase and may be processed through the Apple App Store or other authorized channels.
Export controls and sanctions
You may not use, export, re-export, transfer, or provide access to the App, connected technical information, beta materials, model information, or outputs in violation of applicable export-control, sanctions, or trade laws. You represent that you are not located in, under the control of, or a national or resident of any restricted jurisdiction where such use would be unlawful.
Monitoring, enforcement, and equitable relief
We may investigate suspected violations of these Terms and take any action we deem appropriate, including suspending or terminating access, disabling features, refusing support, removing beta access, or pursuing legal remedies.
You acknowledge that unauthorized use, disclosure, reverse engineering, or misuse of the App or its underlying technology may cause irreparable harm for which monetary damages are inadequate, and we may seek injunctive or other equitable relief.
Suspension and termination
We may suspend, restrict, or terminate your right to use the App at any time if we believe you have violated these Terms, created risk for us or others, used the App unlawfully, or misused beta or confidential materials.
You may stop using the App at any time by uninstalling it and deleting local data, subject to any obligations that survive termination.
Disclaimers
To the maximum extent permitted by law, the App is provided "as is" and "as available," with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, accuracy, availability, non-interference, and non-infringement.
We do not warrant that the App will be uninterrupted, secure, error-free, accurate, compatible with your device or accessory, or suitable for any scientific, professional, medical, commercial, industrial, legal, or regulated use.
Limitation of liability
To the maximum extent permitted by law, Dr Matcha Studio and its affiliates, licensors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, business, contracts, opportunity, goodwill, data, use, expected savings, or reputation, arising out of or related to the App or these Terms, even if advised of the possibility of such damages.
Without limiting the foregoing, we are not liable for losses arising from capture failure, data loss, measurement inaccuracy, segmentation error, AI output error, calibration drift, thermal-reading error, connected-device failure, driver incompatibility, environmental conditions, regulatory non-compliance, export misuse, third-party storage or sharing, or your reliance on outputs in consequential settings.
To the maximum extent permitted by law, our aggregate liability for all claims arising out of or relating to the App or these Terms will not exceed the greater of 100 GBP or the amount you paid for the App in the 12 months before the claim arose.
Indemnification
You agree to defend, indemnify, and hold harmless Dr Matcha Studio and its affiliates, licensors, officers, employees, contractors, and agents from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the App, your devices, your data, your captures, your exports, your violation of these Terms, or your violation of any law or third-party rights.
Governing law and venue
These Terms are governed by the laws of England and Wales, without regard to conflict of laws rules. Subject to any mandatory consumer rights in your jurisdiction, you agree that the courts of England and Wales will have exclusive jurisdiction over disputes arising out of or relating to the App or these Terms.
Severability, waiver, assignment, and survival
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, financing, reorganization, acquisition, or sale of assets. Sections that by their nature should survive termination will survive, including intellectual property, restrictions, confidentiality, disclaimers, limitation of liability, indemnification, governing law, and dispute provisions.
Entire agreement
These Terms, together with any documents they expressly incorporate by reference, constitute the entire agreement between you and Dr Matcha Studio regarding the App and supersede prior or contemporaneous understandings on that subject.
