Who we are

Dr Matcha Studio Limited and Dr Matcha Studio (collectively, "Dr Matcha Studio," "we," "us," or "our") own and operate Project Meridian. Dr Matcha Studio was founded by Mengjie Fan.

Scope and acceptance

These Terms of Use govern access to and use of Project Meridian, including any prototype materials, design systems, and documentation (collectively, the "Project"). By accessing the Project, you agree to these terms. If you do not agree, do not use the Project.

Prototype and research status

Project Meridian is a research and prototype effort. Features may change, be incomplete, or be removed. The Project is provided for evaluation and informational purposes only and does not constitute a promise to deliver any product or service.

License

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Project solely for personal or internal business evaluation. This license does not grant any ownership rights in the Project or its content.

No advisory relationship

The Project does not provide professional, legal, financial, or strategic advice. Use of the Project does not create a client, advisory, fiduciary, or confidential relationship.

Restrictions

• Do not copy, reproduce, distribute, publicly display, or exploit the Project or its content without written permission.
• Do not reverse engineer, decompile, disassemble, or attempt to derive source code, algorithms, or models.
• Do not remove or alter proprietary notices or attribution.
• Do not use the Project to build, benchmark, or train machine learning or AI models.
• Do not scrape, harvest, or index the Project using automated means without written permission.
• Do not use the Project to build or promote competing products or services.

Intellectual property and design rights

The Project, including its UI, design systems, mapping methods, and visual assets, is owned by Dr Matcha Studio or its licensors and is protected by intellectual property laws. No rights or licenses are granted except as expressly stated in these Terms of Use. All rights are reserved, including rights in derivatives, adaptations, or improvements.

Submissions and feedback

If you submit ideas, feedback, or suggestions, you grant Dr Matcha Studio a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and commercialize them without restriction or obligation.

Availability and changes

We may modify, suspend, or discontinue any part of the Project at any time without notice. We do not guarantee that the Project will be available, secure, or error-free.

Disclaimers

The Project is provided "as is" and "as available." We disclaim all warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Your use of the Project is at your sole risk.

Limitation of liability

To the maximum extent permitted by law, Dr Matcha Studio will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill arising from or related to your use of the Project. In no event will our aggregate liability exceed $100 or the amount you paid to access the Project, whichever is greater.

Indemnification

You agree to indemnify and hold harmless Dr Matcha Studio and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Project or violation of these Terms of Use.

Governing law and venue

These Terms of Use are governed by the laws of the jurisdiction in which Dr Matcha Studio Limited is incorporated, without regard to conflict of laws principles. You agree to the exclusive jurisdiction and venue of courts located in that jurisdiction.

Changes to these terms

We may update these Terms of Use at any time by posting a revised version. Your continued use of the Project after changes become effective constitutes acceptance of the updated terms.
