Who we are

Dr Matcha Studio Limited and Dr Matcha Studio (collectively, "Dr Matcha Studio," "we," "us," or "our") own and operate LumenSpatial. Unless otherwise stated, the app, its software, visual assets, documentation, and related materials are owned by Dr Matcha Studio or its licensors.

Scope and acceptance

These Terms of Use apply to the LumenSpatial mobile application, updates, app content, exports, documentation, and related communications (collectively, the "App"). By downloading, installing, accessing, or using the App, you agree to these Terms.

If you do not agree, do not download or use the App.

Related terms and platform rules

Your use of the App may also be subject to Apple App Store terms, device platform rules, and third-party service terms that apply to software or services you choose to use with the App.

If you obtained the App through the Apple App Store, you acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the App and may enforce them against you.

Eligibility and authority

You must be at least 18 years old to use the App. If you use the App on behalf of a business, institution, lab, university, facility, or other organization, you represent and warrant that you have authority to bind that organization to these Terms.

Changes to the App and these Terms

We may modify the App or these Terms at any time. If we make changes, we may update the effective date and post the revised version. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms.

License grant

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the App on compatible devices you own or control, solely for your personal use or your internal professional, research, educational, facility, design, or evaluation use.

No ownership rights are transferred to you. The App is licensed, not sold.

Research preview status

LumenSpatial may be offered as a research preview, prototype, beta, evaluation build, or other early-stage release. Features may change, be incomplete, or be removed without notice.

You acknowledge that preview software may contain bugs, inaccuracies, instability, or incomplete documentation and is provided for evaluation without any commitment to future availability, features, compatibility, or performance.

Permitted use and your responsibilities

You are responsible for how you use the App, for the data you process with it, and for ensuring that your use complies with all applicable laws, contracts, permissions, workplace rules, research protocols, and institutional policies.

You are solely responsible for obtaining any required permissions, notices, or consents to capture or process information in spaces, facilities, worksites, laboratories, greenhouses, offices, or other environments.

Your data rights and lawful use

You represent and warrant that you own or lawfully control, or otherwise have the necessary rights and permissions to process, store, export, and share all materials and information you use with the App, including any scene content, images, measurements, notes, or other data relating to people, organizations, or property.

You must not use the App to violate privacy, confidentiality, intellectual property, employment, security, export, or surveillance laws or obligations.

Not a safety, compliance, or certified metrology instrument

Unless we expressly state otherwise in writing for a particular release, device profile, or service engagement, LumenSpatial is not a certified photometric instrument, regulated metrology device, legal-compliance tool, emergency-lighting compliance tool, occupational safety instrument, building-code compliance instrument, or other safety-critical or regulated measurement system.

You must not rely on the App as the sole basis for any life-safety decision, workplace safety determination, code-compliance determination, warranty claim, legal claim, insurance decision, or regulated operational approval.

Accuracy, calibration, and environmental limits

Readings, maps, spatial reconstructions, coverage estimates, and exported results may be affected by device model, sensor variation, camera behavior, motion, scene geometry, reflective surfaces, occlusion, lighting conditions, user pacing, environmental conditions, software version, and other factors outside our control.

You are solely responsible for calibration checks, validation against independent instruments or professional workflows, and determining whether outputs are accurate enough for your use case.

No professional, engineering, or compliance advice

The App and its outputs are informational tools only. They do not constitute engineering advice, lighting design advice, code-compliance advice, legal advice, scientific certification, workplace safety advice, medical advice, or any other professional advice.

You are responsible for obtaining qualified independent advice before acting on App outputs in any consequential setting.

Your data and outputs

As between you and Dr Matcha Studio, you retain your rights in the raw materials and content you lawfully input into the App, and in the measurement records or exports you generate, subject to applicable law and third-party rights.

The App, including its software, algorithms, workflows, interface, visual language, documentation, and underlying technology, remains the exclusive property of Dr Matcha Studio or its licensors.

Restrictions

• Do not copy, reproduce, distribute, publish, display, sublicense, rent, lease, sell, or exploit the App except as expressly permitted.
• Do not reverse engineer, decompile, disassemble, decode, translate, or attempt to derive source code, structure, models, formulas, workflows, or internal logic of the App.
• Do not probe, benchmark, profile, or systematically test the App to discover parameters, limitations, calibration behavior, proprietary methods, or confidential performance characteristics.
• Do not use the App or its outputs to build, benchmark, train, fine-tune, validate, or improve AI, machine learning, vision, mapping, or competing measurement systems without our prior written consent.
• Do not use automated means, scripted capture, harvesting, or large-scale output collection to extract know-how or replicate App behavior.
• Do not circumvent security, licensing controls, access restrictions, technological protection measures, watermarks, attribution, or proprietary notices.
• Do not publish comparative performance claims, validation claims, or benchmark results involving the App without our prior written consent.
• Do not use the App to create or support a competing product or service, or to assist a third party in doing so.

Intellectual property, trade secrets, and reserved rights

The App and all related materials, including software, interaction design, design systems, visual assets, measurement workflows, spatial mapping logic, export structures, documentation, and confidential know-how, are protected by copyright, trade secret, trademark, patent, database, and other intellectual property laws.

No rights or licenses are granted by implication, estoppel, or otherwise. All rights not expressly granted are reserved.

Trademarks and brand assets

LumenSpatial, Dr Matcha Studio, associated logos, names, marks, icons, and trade dress are proprietary to Dr Matcha Studio or its licensors.

• You may not use our brand assets without prior written consent.
• You may not register confusingly similar names, marks, social handles, or domains.
• You may not imply affiliation, endorsement, certification, or partnership without authorization.

Confidential and pre-release materials

If we provide you with preview features, early builds, unpublished documentation, roadmaps, or other non-public materials, you agree to treat them as confidential unless we state otherwise in writing.

Feedback and submissions

If you submit feedback, ideas, suggestions, feature requests, test results, or other materials, you grant Dr Matcha Studio a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable license to use, reproduce, modify, publish, create derivative works from, and commercialize them without restriction or obligation.

We are not obligated to keep feedback confidential and may already be developing similar concepts.

Third-party services

Your use of Apple services, files platforms, communication tools, cloud storage, or any other third-party destination or integration is governed by those third-party terms and policies. We are not responsible for third-party services you choose to use with the App.

Export controls and sanctions

You may not use, export, or re-export the App or related technical information in violation of applicable export control, sanctions, or trade laws. You represent that you are not located in, under the control of, or a national or resident of any restricted jurisdiction where such use would be unlawful.

Monitoring, enforcement, and equitable relief

We may investigate violations of these Terms and take any action we deem appropriate, including suspending or terminating access, disabling features, refusing support, or pursuing legal remedies.

You acknowledge that unauthorized use, disclosure, or misuse of the App or its underlying technology may cause irreparable harm for which monetary damages are inadequate, and we may seek injunctive or other equitable relief.

Suspension and termination

We may suspend, restrict, or terminate your right to use the App at any time if we believe you have violated these Terms, created risk for us or others, or used the App unlawfully.

You may stop using the App at any time by uninstalling it and deleting local data, subject to any obligations that survive termination.

Disclaimers

To the maximum extent permitted by law, the App is provided "as is" and "as available," with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, accuracy, availability, non-interference, and non-infringement.

We do not warrant that the App will be uninterrupted, secure, error-free, accurate, compatible with your device, or suitable for any professional, scientific, commercial, or regulated use.

Limitation of liability

To the maximum extent permitted by law, Dr Matcha Studio and its affiliates, licensors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, business, contracts, opportunity, goodwill, data, use, expected savings, or reputation, arising out of or related to the App or these Terms, even if advised of the possibility of such damages.

Without limiting the foregoing, we are not liable for losses arising from measurement inaccuracy, calibration drift, spatial reconstruction error, environmental conditions, regulatory non-compliance, device limitations, export misuse, third-party storage or sharing, or your reliance on outputs in consequential settings.

To the maximum extent permitted by law, our aggregate liability for all claims arising out of or relating to the App or these Terms will not exceed the greater of 100 GBP or the amount you paid for the App in the 12 months before the claim arose.

Indemnification

You agree to defend, indemnify, and hold harmless Dr Matcha Studio and its affiliates, licensors, officers, employees, contractors, and agents from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the App, your data, your exports, your violation of these Terms, or your violation of any law or third-party rights.

Governing law and venue

These Terms are governed by the laws of England and Wales, without regard to conflict of laws rules. Subject to any mandatory consumer rights in your jurisdiction, you agree that the courts of England and Wales will have exclusive jurisdiction over disputes arising out of or relating to the App or these Terms.

Severability, waiver, assignment, and survival

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, financing, reorganization, or sale of assets. Sections that by their nature should survive termination will survive, including intellectual property, restrictions, disclaimers, limitation of liability, indemnification, governing law, and dispute provisions.

Entire agreement

These Terms, together with any documents they expressly incorporate by reference, constitute the entire agreement between you and Dr Matcha Studio regarding the App and supersede prior or contemporaneous understandings on that subject.
